I. Introduction
This Online Access Agreement ("Agreement") explains the terms and conditions for accessing your accounts via Online Banking. In this Agreement, the terms:
"we," "us," "our" "Center Bank" and "Bank" are used to refer to Center Bank
"you" or "your" is used to refer to the owner of an Eligible Account or an authorized
representative
"authorized representative" is used to refer to a person with authority of any kind with
respect to an Eligible Account or an Online Financial Transaction
"Service" is used to refer to Center Bank Online Banking services
"Eligible Accounts" is used to refer to deposit accounts and loans
"Business days" for purposes of this Agreement, our business days are Monday through
Friday. Holidays are not included
This agreement is in addition to the other agreements between you and the Bank. If there is a conflict between the terms and conditions of this agreement and one or more terms contained in the other agreements between you and Bank, this agreement will control. By using a Service to access an Eligible Account or Online Financial Service you are agreeing to the terms of this Agreement.
II. Accessing Your Eligible Accounts through Online Banking
A. Requirements
To access your eligible accounts via Online Banking at http://www.centerbank.com, you must have an access ID, a password, adequate hardware and software, and access to the Internet. Our Online Banking website requires 128-bit encryption, the highest level of protection possible for all your internet communication.
B. Accessible Hours
The Online Banking service is available seven days a week, 24 hours a day. At certain times, a Service may not be available due to system maintenance or circumstances beyond our control. During these times, our telephone banking service and Bank Automated Teller Machines (ATMs) may be used seven days a week, 24 hours a day to obtain information about your Eligible Account(s). You may also contact a customer service representative at any of our branches during normal business hours.
C. Electronic Mail (E-mail)
We provide special E-mail forms at several locations on our website for you to ask questions or give comments on the Service. However, only the E-mail forms that are accessible after you sign on with your password to a secure session of the Service should be used to ask questions or comment on your Eligible Accounts. To ensure the security of your Eligible Account(s) information, we highly recommend that you use only the secure E-mail forms when asking specific questions about your Eligible Account(s). You can use these specially provided E-mail forms to communicate with us, but you may not use E-mail forms (or any other e-mail function) to initiate transactions on your Accounts. For transactions, please use the appropriate functions within the Service or call customer service at any branch.
D. New Services
The Bank may, from time to time, introduce new Online Banking Services or make services available to you that you had not previously been able to access. By using a Service when it becomes available, you agree to be and are bound by the rules contained in this Agreement and any other terms and conditions governing the Services (including the new Service) at that time.
E. Security
You will be given an access ID and an initial password that will give you access to your Eligible Account(s) once you are approved for use of a Service. You understand the importance of your role in preventing misuse of your accounts through Online Banking. The length of password is a minimum of 4 to a maximum of 12 alphanumeric characters. For security purposes, it is recommended that you memorize the access ID and password and do not write them down. Furthermore, we strongly recommend that you change your password the first time you use the Service and regularly thereafter. We are entitled to act on instructions received under your access ID and password, and you are responsible for keeping your access ID, password and Eligible Account(s) information confidential. If you believe that your password may have been lost or stolen, become known by an unauthorized person or that someone has transferred or may transfer money from your account without your permission, or if you suspect any fraudulent activity on your account, notify Center Bank Customer Service at one of our branches, or write to Center Bank, eBanking Division, 3435 Wilshire Blvd. Suite 700, Los Angeles, CA 90010. In our effort to provide transmission security, data transferred via Online Banking is encrypted using VeriSign and Online Banking utilizes identification technology to verify that the sender and receiver of Online Banking transmissions can be appropriately identified by each other. We lock out online banking accounts and Services after the third unsuccessful logon attempt, to prevent any fraudulent activities. Notwithstanding our efforts to insure that the Online Banking System is secure, you acknowledge that the Internet is inherently insecure and that all data transfers, including electronic mail, occur openly on the Internet and potentially can be monitored and read by others. We cannot and do not warrant that all data transfers utilizing Center Bank Online Banking, or e-mail transmitted to and from us, will not be monitored or read by others.
F. Online Banking Services
If approved for you, the Online Banking Services will allow you to perform the following functions. Not all customers may have access to all Services, and not all Eligible Accounts may be used for all Services.
(1) View Accounts. You will be able to view the available balances in your Eligible Accounts. These balance figures will reflect the available balance as of the close of business for the previous business day. They may not reflect the current day's transactions.
(2) Bill Payment Services. The Bill Payment Service allows you to initiate bill payments. It is discussed in detail at Section III, below.
(3) Transfers between Accounts. The Transfer service allows you to transfer funds from one Eligible Account to another Eligible Account.
Eligible Accounts must, in general, be identical in ownership (subject to exceptions the Bank may make to this general rule). Your application form will allow the Bank to identify the account(s) you wish to be included in the Services, and after review by the Bank those that are designated by the Bank as Eligible Accounts will have the Services (or some portion of them) available.
III. Bill Payment Service
A. Description
The Online Banking Bill Payment Service allows you to schedule, at your option, for the payment of your current, future and recurring bills from your account(s). You must provide an Eligible Account number from which the payments are to be made; the complete name of the payee, the account number, and the payee's remittance address, all exactly as shown on the billing statement or invoice; the amount of the payment; and the date you want the payment to be sent, called "Payment Date". When a payment instruction (for a current or any future date) is received under your access ID and password, you agree that we can charge your designated account by electronic transfer, demand draft (that is, "no signature required draft"), or by debiting and remitting funds on your behalf to the payee. The remittance process will begin on the Payment Date, but your payee will in most cases not receive payment until up to 5 business days after the Payment Date. If the Payment Date does not fall on a business day, your payment will be processed on the next business day, which will be treated as the Payment Date. We may charge the Eligible Account you have specified in the Bill Payment order (the "Bill Payment Account") on the Payment Date. At our option, when a demand draft is used to make payment we may delay charging your account until the date a demand draft is presented to us for payment ("presentment date"). Your Bill Payment Account must have sufficient available funds in it to cover all payments and transfers from that account on the Payment Date and on the presentment date. We will not be obligated to make a payment unless your Bill Payment Account and/or linked overdraft protection plan has sufficient funds or credit availability to pay the bill on each of those dates. Funds for all bill payments (whether we make these payments electronically or by check) will be withdrawn from your Bill Payment Account on the scheduled Payment Date or on the presentment date. Bill Payment should not be used to make tax payments or remittances to state or local governmental entities, courts or others who require specific electronic payment measures. We reserve the right to refuse to pay any payee designated by you. If we do so, we will notify you promptly. We reserve the right to terminate your use of Online Bill Payment Service at any time, whether for cause or without cause and with or without notice to you.
B. Scheduling and Processing Bill Payments
There may be a delay between the Payment Date (the date your payment is sent) and the date the payee receives that payment. Any payments made through the Bill Payment Service require sufficient time for your payee to receive your payment and credit your account properly. To avoid incurring finance or other charges, you must schedule a payment sufficiently in advance of the due date of your payment. When you schedule payments, YOU MUST SCHEDULE THE PAYMENT AT LEAST 5 FULL BUSINESS DAYS PRIOR TO THE DATE THE PAYMENT IS DUE AT YOUR PAYEE, WITHOUT REGARD TO ANY GRACE PERIOD FOR LATE PAYMENT GIVEN TO YOU BY THE PAYEE. If you fail to schedule payments in advance in accordance with your agreement with us (that is, at least 5 full days prior to the date payment is due (without regard to any grace period), we will not be responsible for any consequences you suffer if your bill payment is not received by the payee on time. You may use the Services to stop or change any scheduled bill payment by using the Change/Delete Payment function on the Online Banking website. You must change or delete a scheduled payment no later than 9 a.m. (Pacific Time) on the Payment Date.
C. Limitations
The amount of any payment may not exceed $9,999.99. There must be sufficient available funds in the affected Eligible Account, as described above. Only one, one-time payment and one recurring payment may be sent to each payee on the same day. Eligible Accounts that require two or more signatures or authorizations to withdraw or transfer funds may not be used as a Bill Pay Account. For Bill Payment from an Eligible Account that is an interest bearing account (other than a NOW account), you may make no more than six transfers and withdrawals, or combination of them, per calendar month or statement cycle to a third party by means of a preauthorized or automatic transfer, telephonic agreement or through the Services, or other order or instruction, and no more than three of the six may be made by check, draft, debit card or similar order payable to a third party.
IV. Electronic Fund Transfer
A. Description
The Bank's Online Banking Services also allows you to schedule funds transfers between your Eligible Accounts ("Transfers"). You may make Transfers between Eligible Accounts only if they are linked for this Service.
B. Scheduling and Processing Fund Transfer
A transfer scheduled before 11 a.m. (Pacific Time) on a business day will be processed on the same day. All transfers scheduled after 11a.m. (Pacific Time) will be processed on the next business day. You may schedule for a recurring fund transfer between your accounts. If the transfer date of a recurring transfer falls on a Saturday, Sunday, or banking holiday, it will be posted on the next business day.
C. Limitations
The amount of any transfer may not exceed $3,000.00. There is no limit to the number of transfers that may be authorized as long as there are enough funds available to transfer. For Transfers from an Eligible Account that is an interest bearing account (other than a NOW account), you may make no more than six transfers and withdrawals, or combination of them, per calendar month or statement cycle to a third party by means of a preauthorized or automatic transfer, telephonic agreement or through the Services, or other order or instruction, and no more than three of the six may be made by check, draft, debit card or similar order payable to a third party.
V. General Terms and Conditions
A. Termination
Unless otherwise required by applicable law, the Bank may terminate this agreement and your access to the Online Banking Service, in whole or in part, at any time without notice and with or without cause. You may cancel your Online Banking Service by notifying us at least ten (10) business days in advance in writing to Center Bank, 3435 Wilshire Blvd. Suite 700, Los Angeles, CA 90010. Upon receiving your written request, we may reinstate your Online Banking Service, in whole or in part, at our discretion, at any time. You may request reinstatement of an Online Banking Service by contacting Customer Service at any of the branch locations.
B. Changes
Unless otherwise required by applicable law, the Bank reserves the right to change the charges, fees, or other terms described in this Agreement from time to time and any time. When changes are made, we will update this Agreement at the website on the effective date, and email a notice to you at the email address shown on our records at least fifteen (15) days in advance of the change. You may choose to accept or decline changes by continuing or discontinuing to use the Service. Changes to fees or terms applicable to Eligible Accounts are governed by the agreement otherwise governing the applicable account.
C. Responsibility for Unauthorized Bill Payment or Transfer Instructions (Non-Consumer Accounts)
For non-consumer transactions, you agree that you are liable for: (1) all Bill Payment instructions that are authorized by you, whether or not we have verified the authenticity of the payment order using the security procedures that are a part of the Online Banking services; and for all Bill Payment instructions; and (2) all Bill Payment instructions, whether or not authorized by you, if we verify the authenticity of the payment instruction using the security procedures that are a part of the Online Banking Services. You acknowledge that we have provided you with options for supplemental or additional security procedures that could provide greater security against unauthorized use, and that the particular security procedures found in the Bill Payment service were chosen by you as commercially reasonable for your use of the Bill Payment Service. You understand that the security procedures that are a part of the Bill Payment Services are not designed to and will not detect error. We will not be liable for indirect, special, or consequential damages arising out of the use of any Online Service, including Bill Pay or Transfer Services. (For consumer transactions, liability for unauthorized use is discussed below.)
D. Disclosure of Information
The circumstances under which we will disclose information about you, your Eligible Accounts, or your Online Financial Services is set forth in the information that has been separately disclosed to you in the contracts, notices, and disclosures that have been separately provided to you and in accordance with our policy disclosed at our Website at the time you first access the Services.
E. Liability
Except as specifically provided in this Agreement or where the law requires a different standard, you agree that we shall not be responsible for any loss, property damage or bodily injury, whether caused by the equipment, software, the Bank, or by Internet browser providers such as Netscape (Netscape Navigator browser) and Microsoft (Microsoft Explorer browser), or by Internet access providers or by online service providers or by an agent or subcontractor of any of the foregoing. Nor shall the service providers or we be responsible for any direct, indirect, special or consequential, economic or other damages arising in any way out of the installation, use or maintenance of the equipment, software, the Online Financial Services, Internet browser or access software.
F. Waiver
The Bank may waive any term or provision of this Agreement at any time or from time to time, but any such waiver shall not be deemed a waiver of the term or provision in the future.
G. Fees and Charges
All charges listed below will be automatically deducted from your designated account and will appear on you account statement. Fees separately disclosed to you in connection with an Eligible Account or Online Service applies when using the service. If you close all of your Eligible Accounts, you must notify Bank Customer Service to cancel your Online Banking Services. If you close your bill payment account and wish to continue using our Bill Payment Service, you must notify us and designate a new Eligible deposit account to process scheduled payments.

H. Other Terms and Conditions
In addition to this Agreement, you agree to be bound by and will comply with the requirements of the applicable Account Disclosure Statement, the Bank's rules and regulations, and applicable state and federal laws and regulations. We agree to be bound by them also.
